End User Agreement

1. Agreement Overview 

This End User License Agreement ("Agreement") is a legal contract between you ("User" or "Licensee") and Four Sisters Solutions ("Licensor," "we," "our," or "us") governing your use of deLIVEr ("Software"). By installing, accessing, or using the Software, you agree to comply with the terms and conditions of this Agreement. If you do not agree to these terms, do not install or use the Software. 

2. Grant of License 

a. License Type 

Subject to the terms and conditions of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for your personal or internal business purposes. 

b. License Restrictions 

You may not: 

  • Copy or reproduce the Software except as necessary for backup purposes. 

  • Modify, adapt, translate, or create derivative works based on the Software. 

  • Distribute, sublicense, lease, rent, or sell the Software to any third party. 

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software. 

  • Use the Software for any unlawful purpose or in violation of any applicable laws or regulations. 

3. Ownership 

The Software and any related documentation are the proprietary property of [Your Company Name] and its licensors. All rights, titles, and interests in and to the Software, including intellectual property rights, are owned by Four Sisters Solutions or its licensors. 

4. User Responsibilities 

You agree to: 

  • Use the Software in accordance with all applicable laws and regulations. 

  • Ensure that your use of the Software complies with this Agreement. 

  • Maintain the confidentiality of any account information and passwords associated with the Software. 

5. Software Updates 

We may provide updates, upgrades, or patches to the Software from time to time. These updates may be provided automatically or manually and may require you to install them. Updates are governed by this Agreement unless accompanied by a separate license agreement. 

6. Termination 

This Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession. 

7. Warranty Disclaimer 

The Software is provided "as is" without a warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Software will be error-free, secure, or uninterrupted. 

8. Limitation of Liability 

To the maximum extent permitted by law, Four Sisters Solutions and its affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Software, even if advised of the possibility of such damages. Our total liability for any claim arising out of this Agreement shall not exceed the amount you paid for the Software. 

9. Indemnification 

You agree to indemnify, defend, and hold harmless Four Sisters Solutions and its affiliates from and against any claims, liabilities, damages, losses, or expenses arising out of or related to your use of the Software, your violation of this Agreement, or your infringement of any third-party rights. 

10. Governing Law 

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Texas. 

11. Entire Agreement 

This Agreement constitutes the entire agreement between you and Four Sisters Solutions concerning the Software and supersedes all prior or contemporaneous understandings or agreements, whether written or oral, relating to the Software. 

12. Severability 

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
